These Terms of Service (“Terms”) govern your access to and use of the public RetentionRx marketing website (the “Site”). By using the Site, you agree to these Terms. If you do not agree, do not use the Site.
Use of the RetentionRx software platform, dashboards, and paid services is governed by separate agreements presented at signup or onboarding—not by these Terms alone.
1. The Site
The Site provides general information about RetentionRx fitness retention intelligence products and allows you to request a product demonstration. We may change, suspend, or discontinue any part of the Site at any time.
2. Eligibility
You must be at least 18 years old and able to form a binding contract to use the Site. If you use the Site on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
3. Acceptable use
You agree not to:
- Use the Site in violation of applicable law;
- Attempt to gain unauthorized access to our systems or data;
- Interfere with the Site’s operation or security;
- Scrape, harvest, or automate access except as permitted by us in writing;
- Submit false, misleading, or abusive demo requests or communications.
4. Demo requests
Submitting a demo request does not create a customer relationship or guarantee availability, pricing, or a particular feature set. We may contact you using the information you provide. Our collection and use of that information is described in our Privacy Policy.
5. Intellectual property
The Site and its content—including text, graphics, logos, software, and design—are owned by RetentionRx or its licensors and are protected by intellectual property laws. Except for limited personal, non-commercial viewing, you may not copy, modify, distribute, or create derivative works without our prior written consent.
6. Third-party links
The Site may link to third-party websites or services. We are not responsible for their content, policies, or practices. Your use of third-party services is at your own risk.
7. Disclaimers
THE SITE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Information on the Site is for general marketing purposes only. RetentionRx analytics, scores, and projections are tools to support business decisions—they are not legal, financial, medical, or professional advice. Results vary by studio, data quality, and operating practices.
8. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, RETENTIONRX AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY FOR CLAIMS ARISING OUT OF OR RELATING TO THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100) OR THE AMOUNT YOU PAID US FOR SITE-RELATED SERVICES IN THE TWELVE MONTHS BEFORE THE CLAIM, WHICHEVER IS GREATER.
Some jurisdictions do not allow certain limitations; in those cases, the above limits apply only to the extent permitted by law.
9. Indemnification
You will defend, indemnify, and hold harmless RetentionRx and its affiliates from claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising from your misuse of the Site or violation of these Terms.
10. Governing law
These Terms are governed by the laws of the State of Nevada, without regard to conflict-of-law rules. Exclusive venue for disputes relating to the Site lies in the state or federal courts located in Clark County, Nevada, and you consent to personal jurisdiction there.
11. Changes
We may update these Terms from time to time. The “Effective” date at the top shows when the current version took effect. Continued use of the Site after changes constitutes acceptance of the revised Terms.
